Information about us, the legal Terms and conditions (the "Terms"), information about Your legal rights, remedies and obligations

1.1 Introduction. About us
1.1.1 Our company
Ticketclub.com.ua is a Website operated by "TICKET CLUB", which is the trading name of "SALES SYSTEMS" LLC ("Ticketclub", "we", "us" or "our")
We are a company in Ukraine registered under company number 38665903 and have Our registered office at 31/3 Drahomanova St, Lviv, Ukraine
The servers and databases that power Ticketclub.com.ua are located in the EU by the leading and experienced datacenter operator in Germany

1.1.2 What We do. Services
Ticketclub provides Services, which allow Event Organizers to manage ticketing and registration and promote their Events
Ticketclub is not the Event Organizer or owner of the Events listed on the Website
1.2 Event Organizer
Event Organizer ("Organizer") is the legal entity and a subject to the Terms of the Ticketclub Merchant agreement
The Organizers create Events listed on Ticketclub
The Organizer is solely responsible for ensuring that any page displaying its Event on Ticketclub (and the Event itself) meet all applicable local, state, provincial, national and other laws, rules and regulations, and that the services described on the Event page are delivered as described and in an accurate satisfactory manner
1.3 You
Consumers and third parties using Our Services by purchasing tickets or registrations, or by any other manner, e.g. simply browsing Our Website, are all referred to in these Terms collectively as "Users", "You" or "Your"
1.4 Terms
The "terms of service" and all other Terms listed on this page are all referred to as "Terms"
These Terms are a legally binding agreement between You and Ticketclub governing Your access, setting out Your rights and responsibilities when You use the Services
By using any of Our Services (including browsing Our Website), You are agreeing to these Terms
If You do not agree to these Terms, please do not use or access the services
If You will be using the services on behalf of an entity (such as on behalf of Your employer), You agree to these Terms on behalf of that entity and its affiliates and You represent that You have the authority to do so. In such case, "You" and "Your" will refer to that entity as well as Yourself

1.5 Age requirements
You must be at least 18 years of age
If You are under 18, then please do not provide Us with any information about Yourself and do not use or access the Website at any time or in any manner

1.6 Your Ticketclub Account
If You meet these age requirements You can create a Ticketclub Account. This allows You to buy tickets and to register for the Events
You agree to provide true, accurate, current and complete information about Yourself, or if You are using the Website on behalf of an organization, the organization (e.g., another company). You also agree to update registration Data if it changes
If there is a dispute between two or more persons or organizations as to account ownership, Ticketclub will be the sole arbiter of that dispute and Ticketclub's decision (which may include termination or suspension of the account) will be final and binding on those parties
If You are using the Website on behalf of a company or other entity, You represent and warrant that You have the authority to legally bind that entity and grant Ticketclub all permissions and licences provided in these Terms
We may provide You the ability to implement certain permission within Your account to third parties including, "sub-users," "sub-accounts," or other credentialed account Users. If We do so, You agree that You are solely responsible for all activity that occurs under Your account (including actions by sub-users), so You must maintain the confidentiality of Your password and account details. You likewise agree that all rules applicable to Your account will apply to all third parties to whom You grant access to Your account
You agree to immediately notify Ticketclub of any unauthorised use of Your password or account or any other breach of security. You are responsible for (and We will hold You responsible for) any activities that occur under Your account

1.7 Fees
Creating an account is free
However, We charge fees from You and/or Event Organizer when You buy paid tickets or registrations
These fees may vary based on individual agreements between Ticketclub and Event Organizers
Event Organizers ultimately determine whether these fees will be passed along to You and shown as "fees" on the applicable Event page or absorbed into the ticket or registration price and paid by the Organizer out of ticket and registration gross proceeds
The fees may include certain other charges, including without limitation, facility fees, royalties, taxes, processing fees and fulfillment fees
Ticketclub does not control (and thus cannot disclose) fees levied by Your bank and/or credit card company. Be sure to check with Your bank or credit card company prior to engaging in a transaction to understand all applicable fees, credit card surcharges and currency conversion rates

1.8 Refunds
Refund policies are determined by Event Organizers and vary in wide range from full price refund to "no refund" policy.
If the Event Organizer allows refunds, usually Ticketclub has some established minimum refund requirements. If You send Us a refund request and Your case meets these requirements, Ticketclub can initiate a refund without asking the approval of the Organizer. If it doesn't, Your request will be redirected to the Event Organizer. No guarantees. Request that Ticketclub initiate a refund by contacting us
All refund policies, including “no refund” policy, must provide for a refund or other accommodation through which the Event Organizer will “make good” on its obligations to You for failure to provide the advertised services (e.g., Event cancellation, Event reschedule)
In the case that Event Organizer fails for any reason to honor it's accommodation with You, Ticketclub has the right (not the obligation) to issue refund(s) to You and collect such sums directly from the Organizer
1.8.1 Fees can not be refunded. Fees are deducted from the refund amount

1.9 Intellectual property rights
We are the owner or the licensee of the intellectual property rights on our Website and in the materials published on it. You must not modify the copies of any materials that You have printed off or downloaded in any way
You have no right to use, and agree not to use, any Website data for commercial purposes
You have no right to, and agree not to scrape, crawl, or employ any automated means to extract data from the Website

1.10 Limitation of liability
To the extent permitted by applicable laws, Ticketclub and any person or entity associated with Ticketclub (e.g., an affiliate, strategic partner or employee), will not be liable to You or any third party, for any indirect, incidental, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, opportunity costs, intangible losses, or the cost of substitute Services (even if Ticketclub has been advised of the possibility of such damages)

1.11 Warranties and assumption of risks
We are doing out best to provide Services in the way You need them, but there are some things it is important for You to understand that We cannot promise
Ticketclub makes no warranty that the Services will meet Your requirements or expectations; the Services will be uninterrupted, timely, error-free
You acknowledge that Ticketclub has no control over and does not guarantee the quality, safety, accuracy or legality of any Event or content associated with an Event
You understand and agree that some Events may carry inherent risk, and by participating in those Events, You choose to assume those risks voluntarily. Some Events may carry risk of illness, bodily injury, disability, or death, and You freely and willfully assume those risks by choosing to participate in those Events

Ticketclub is committed to protecting and respecting Your privacy and keeping Your Personal Data and "Non-Personal Data" (any information that does not relate to You and/or cannot be used to identify You, that We also may collect

2.1 Personal Data that We collect
We collect Personal Data when You voluntarily provide such information when You register for access to the Services, contact Us with inquiries, respond to one of Our surveys or browse or use certain parts of the Services
The Personal Data We collect sometimes for Our own purposes and other times on behalf of an Organizer includes without limitation:
- name;
- email address;
- phone number;
- Your responses to any surveys or questionnaires;
- details of any opinions or complaints You raise regarding the Service (including those posted on public forums and social media) and details of any correspondence that You have with us, including via our online customer support function;
- details of transactions You carry out through Our Website and of the fulfilment of Your orders;
- and any other information that You choose to provide and/or that enables Users to be personally identified
Some form fields are mandatory and some may be optional. The Personal Data provided by You in the mandatory form fields must be true, accurate, and current, or it will be impossible for Us to provide Services. Also, You must update this Data if it changes
If some Data is not mandatory, You are free not to submit this Data without any consequences on the availability or the functioning of the Services
We also automatically collect certain technical data that is sent to Us from the computer, mobile device and/or browser through which You access the Services ("Automatic Data"). Automatic Data, includes without limitation, a unique identifier associated with Your access device and/or browser (e.g. IP address) characteristics about Your access device and/or browser, statistics on Your activities on the services, information about how You came to the Services and data collected through Cookies, Pixel Tags, Local Shared Objects, Web Storage and other similar technologies. When You register for the Services or otherwise submit Personal Data to us, We may associate other Non-Personal Data (including Non-Personal Data We collect from third parties) with Your Personal Data. At such instance, We will treat any such combined data as Your Personal Data until such time as it can no longer be associated with You or used to identify You
If You register for a paid Event, You will provide financial information (e.g., Your credit card number)
In addition, Organizers can set up Event registration pages to collect virtually any information from You in connection with registration for an Organizer's Event listed on the Services. Ticketclub does not control an Organizer's registration process nor the Personal Data that they collect. When You register for, or otherwise provide information to Ticketclub in conjunction with an Organizer Event or activity, whether that information is Yours or a third party’s, in connection with a purchase, registration, or transfer, that Organizer will receive and may use the information You provide
We may also collect or receive Personal Data from third party sources, such as Organizers, other Consumers, social media or other third party integrations, Your credit card issuing bank, Our payment processing partners or other third parties

2.2 How the information about You is used
We collect and use the Personal Data and "Non-Personal Data" in a manner that is consistent with all applicable privacy laws, including EU General Data Protection Regulation (GDPR)
We use Your Data as follows:
- to enable You to set up an account and to purchase tickets or registrations for Events
- keeping You updated on those Events
- to respond to Your questions and concerns
If You registered for an Event on the Services, Your email address and other Data You have provided through the registration forms is available to that Organizer. We allow Organizers to use Our tools to contact Consumers for their current and past Events, so You may receive emails from Our system that originate with such Organizers and that We send on their behalf. The Organizer and not Ticketclub is responsible for sending these emails
We may use Your Personal Data for Our marketing and advertising purposes, including (without limitation) by email, SMS marketing, display media, and targeting other devices (such as tablets, mobile devices and televisions). We do this in order to inform You about Services or Events We believe might be of interest to You, develop promotional or marketing materials and display Ticketclub or Event-related content and advertising on or off the Services that We believe might be of interest to You. We may also do this on behalf of an Organizer, where Your prior interactions with an Organizer suggest You may be interested in a particular type of Event
If We intend to use any Personal Data in any manner that is not consistent with this Privacy Policy, You will be informed of such anticipated use prior to or at the time the Personal Data is collected or We will obtain Your consent subsequent to such collection but prior to such use
In an ongoing effort to understand and serve our Users better, We often conduct research on our customer demographics, interests and behavior based on Personal Data and other information that We have collected. This research is typically conducted on an aggregate basis only that does not identify You. Once Personal Data is in an aggregated form, for purposes of this Privacy Policy, it becomes Non-Personal Data
We may use Your Personal Data for internal business purposes, including without limitation, to help Us improve the content and functionality of the Services, to better understand Our Users, to improve the Services, to protect against, identify or address wrongdoing, to enforce Our Terms of Service, to manage Your account and provide You with customer service, and to generally manage the Services and Our business

2.3 How We Disclose And Transfer Personal Data
First of all, We will never sell Your Personal Data to anyone
The only circumstances in which We may disclose, transfer or share Your Personal Data with certain third parties without further notice to You, as set forth in this Privacy Policy
2.3.1 Organizers
When You purchase tickets or register for an Event, transfer an Event ticket or registration to another person, or otherwise input Your Personal Data (such as through a web form), or otherwise communicate with an Organizer, or participate in or express interest in an Organizer or Organizer Event or activity, that Organizer will receive the information You provide, including Your Personal Data, and where a ticket or registration is transferred, the Personal Data of the transferee as well. Other third parties that are involved in or on whose behalf an Event or activity is promoted, may receive that Personal Data as well
When You purchase tickets or register for an Event, the Organizer may then send You marketing or other communications, which may be subject to its own, separate privacy policy
We are not responsible for the actions of these Organizers, or their Third Party Organizers (or other downstream recipients of Your Personal Data), with respect to Your Personal Data. It is important that You review the applicable policies of the Organizers, and if applicable and available, their appointed Third Party Organizers, of an Event before providing Personal Data or other information in connection with that Event
2.3.2 Service Providers
We may share Your Personal Data with Our contractors and service providers who process Personal Data on behalf of Ticketclub to perform certain business-related functions. These companies include payment processing partners, customer support, tech support, hosting companies, Our marketing agencies, online advertising providers, data enhancement and data service providers, database service providers, backup and disaster recovery service providers, email service providers and others. When We engage another company to perform such functions, We may provide them with information, including Personal Data, in connection with their performance of such functions
2.3.3 Facebook or another social media Marketing
If You are a member of Facebook (or another social media platform), and You provide Personal Data to an Organizer, the Organizer may use that Personal Data to send You advertising and offers through Facebook (or another social media) platform. The Organizer may work with Us and with third parties to enable this data integration and advertising. Facebook and other social media platforms may provide a way to opt out of this type of advertising. Please review their user settings and support pages to learn more about how they help You to manage privacy and marketing choices
2.3.4 Legal Requirements
We may disclose Your Personal Data if required to do so by law in order to (for example) respond to a subpoena or request from law enforcement, a court or a government agency (including in response to public authorities to meet national security or law enforcement requirements)
2.3.5 Business Transfers
As We develop Our business, We might sell or buy businesses or assets. In the event of a corporate sale, merger, reorganisation, dissolution or similar event, Personal Data may be part of the transferred assets. You acknowledge and agree that any successor to or acquirer of Ticketclub will continue to have the right to use Your Personal Data and other information in accordance with the Terms of this Privacy Policy
2.3.6 Parent Companies, Subsidiaries and Affiliates
We may also share Your Personal Data with our parent companies, subsidiaries and/or affiliates (right now We have none of those) for purposes consistent with this Privacy Policy. Our parent companies, subsidiaries and affiliates will be bound to maintain that Personal Data in accordance with this Privacy Policy

2.4 How We store Your Personal Data
We may store Personal Data itself or such information may be stored by third parties to whom We have transferred it in accordance with this Privacy Policy. We take what We believe to be reasonable steps to protect the Personal Data collected via the Services from loss, misuse, unauthorised use, access, inadvertent disclosure, alteration and destruction. However, no network, server, database or email transmission is ever fully secure or error free. Therefore, You should take special care in deciding what information You send to Us electronically. Please keep this in mind when disclosing any Personal Data

2.5 How You can access, update or delete Personal Data
You can access or delete Your Personal Data stored by us. You can do this by logging in and visiting the Questionnaire and Settings pages in Account Cabinet. Here You can also edit some of Your Personal Data directly through Your account. In certain cases, You can ask Us to correct and update any inaccurate Personal Data using the contact information below
If You initiate a data deletion request, Ticketclub is authorised to delete or anonymize Personal Data from the Services even if that means removing its availability to the Organizer through the Services. However, You understand that even if Ticketclub deletes or anonymizes Your Personal Data upon Your request Your Personal Data may still be available in the Organizer's own databases if transmitted to the Organizer prior to Ticketclub receiving or taking action on any deletion or anonymization activity. The financial data will not be deleted, but also it won't be connected to You anymore. Also Our payment processing partners will keep Your Data until refundable period ends (around 3 months)

2.6 Data retention
We may retain Your Personal Data as long as You are registered to use the Services. You may initiate a data deletion request using the contact information below. However, We may retain Personal Data for an additional period as is permitted or required under applicable laws. Even if We delete Your Personal Data it may persist on backup or archival media for an additional period of time for legal, tax or regulatory reasons or for legitimate and lawful business purposes

2.8 Your rights
You can browse the Services without providing any Personal Data (other than Automatic Data to the extent it is considered Personal Data under applicable laws) or with limiting the Personal Data You provide. If You choose not to provide any Personal Data or limit the Personal Data You provide, You will not be able to buy tickets, Your name, email address and phone number will be required
Ticketclub may send You electronic communications marketing or advertising the Services themselves or Events on the Services, to the extent You have registered for the Services or purchased a ticket and/or registration to an Event listed on the Services. You can "opt out" of receiving these electronic communications by clicking on the "Unsubscribe" link at the bottom of any such electronic communication
Certain electronic communications from Ticketclub are responsive to Your requests. For instance, We must email You Your ticket or registration on behalf of the Organizer when You purchase such ticket or registration. As a further example, if You email Our customer support department, We will return Your email. Notwithstanding any unsubscribe election that You have made, You will still receive these transactional or responsive emails

2.9 Data Controller and a Data Processor
EU data protection law makes a distinction between organisations that process Personal Data for their own purposes (known as "Data Controllers") and organisations that process Personal Data on behalf of other organisations (known as "Data Processors"). If You have a question or complaint about how Your Personal Data is handled, these should always be directed to the relevant Data Controller since they are the ones with primary responsibility for Your Personal Data
Ticketclub may act as either a Data Controller or a Data Processor in respect of Your Personal Data, depending on the circumstances
Ticketclub act as Data Controller in respect of Your Personal Data You provide when You create a Ticketclub Account
However, if You register for an Event, Ticketclub does not decide what Personal Data to request on Event-specific registration forms. We will process Your Personal Data to help administer that Event on behalf of the Organizer (for example, sending confirmation, promotional and feedback emails, processing payments, etc.) and to help the Organizer target, and understand the success of, their Event and Event planning (for example, providing Event reports, using analytics to gain insights into the effectiveness of various sales channels, etc.). In these circumstances, Ticketclub merely provides the tools for Organizers. Any questions that You may have relating to Your Personal Data and Your rights under data protection law should therefore be directed to the Organizer as the Data Controller, not to Ticketclub

The Services and Our business may change from time to time. As a result, at times it may be necessary for Us to make changes to this Privacy Policy. We reserve the right, in Our sole discretion, to update or modify this Privacy Policy at any time
Please review this policy periodically, and especially before You provide any Personal Data. Your continued use of the Services following the effectiveness of any modifications to this Privacy Policy constitutes acceptance of those modifications. If any modification to this Privacy Policy is not acceptable to You, You should cease accessing, browsing and otherwise using the Services
